Agreement to these terms

These Terms of Service ("Terms") govern your use of the LocalOutRank platform, including the website at localoutrank.ai and all related software, APIs, and services (collectively, the "Service"). LocalOutRank is operated by Consolidated Assets LLC, an Arizona limited liability company ("LocalOutRank," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

What LocalOutRank provides

LocalOutRank is a local SEO and Google Business Profile management platform for home service contractors. The Service includes:

• Momentum Score: a weekly ranking of your Google Business Profile activity across key signals
• Review Request Engine: automated SMS-based review request delivery to your customers
• AI Review Response: AI-generated draft responses to incoming Google reviews for your approval
• Content Calendar: AI-generated GBP post content from your job photos, scheduled for publishing
• Photo Engine: tools for uploading and managing job photos on your GBP profile
• Competitor Intelligence: monitoring and comparison of up to 10 local competitor GBP profiles
• Daily action recommendations based on your current ranking signals

Account registration

You must create an account to use LocalOutRank. You agree to provide accurate, complete, and current information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@localoutrank.ai if you believe your account has been compromised.

Subscription plans and billing

LocalOutRank is offered on a monthly subscription basis. Current pricing:

• All plans include a 14-day free trial. No credit card is required to start your trial.
• Billing begins on the day you add a payment method or your trial expires, whichever comes first.
• Subscriptions renew automatically each month unless canceled.
• Payments are processed by Stripe. We do not store your payment card information.
• We do not offer prorated refunds for partial months. If you cancel mid-cycle, your access continues through the end of the billing period.
• We reserve the right to change pricing with 30 days' written notice to subscribers.

SMS messaging terms

By using LocalOutRank's review request features, you agree to the following terms governing SMS communications. These terms are required by mobile carrier compliance programs (10DLC registration).

Platform notifications (to you):

You may opt in during account setup to receive SMS notifications about your Momentum Score, competitor activity, and platform alerts. Opting in to SMS is not required to use the Service. You may opt out at any time by replying STOP to any message or by updating your notification settings. After opting out, you may opt back in by replying START or through your account settings.

Customer review requests (sent by your business):

When you use the Review Engine to send review requests, LocalOutRank sends SMS messages to your customers on your behalf. By using this feature, you represent that:

• You have an existing business relationship with each customer you contact
• You have obtained any required consent to send them SMS messages
• Each contact is a real person 18 years or older who you have served
• You will not use the feature to send unsolicited messages to people you have not done business with

Your customers may opt out of future messages from your business by replying STOP. LocalOutRank will honor all opt-out requests and will not send further messages to customers who have opted out.

Your data and content

Your business data belongs to you. This includes your customer contacts, job records, GBP content, photos, and account information. You grant LocalOutRank a limited license to use this data solely to operate and improve the Service on your behalf.

You may request a full export of your data at any time by contacting support. Upon cancellation, your data is retained for 30 days to allow for reactivation, then permanently deleted from active systems.

By uploading photos and content to LocalOutRank, you represent that you own the rights to that content or have permission to use it, and that using it does not violate any third-party rights.

Google Business Profile integration

LocalOutRank integrates with the Google Business Profile API. Your use of this integration is also governed by Google's Terms of Service and API policies. You authorize LocalOutRank to read and, where you have enabled it, write to your GBP profile on your behalf. You remain fully responsible for the content published to your GBP profile through our platform.

Acceptable use

You agree not to use LocalOutRank to:

• Send unsolicited SMS messages or spam of any kind
• Submit false or fabricated reviews to Google or any platform
• Impersonate any person or business
• Violate any applicable law, including the TCPA, CAN-SPAM Act, or state equivalents
• Reverse engineer, decompile, or attempt to extract source code from the platform
• Share your account credentials with parties outside your organization
• Interfere with or disrupt the Service or its underlying infrastructure
• Access or attempt to access other users' accounts or data
• Use the platform in any way that could damage LocalOutRank's relationships with Google or mobile carriers

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, at our sole discretion.

Cancellation

You may cancel your LocalOutRank subscription at any time with no cancellation fees. To cancel, email support@localoutrank.ai or call 520-444-7488. Your access will continue through the end of your current billing period. We do not offer prorated refunds for unused time.

Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that specific results, rankings, or improvements will be achieved through use of the platform. Google's ranking algorithms are outside our control, and we cannot guarantee specific ranking outcomes.

Limitation of liability

To the maximum extent permitted by applicable law, LocalOutRank and Consolidated Assets LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of data, arising from your use of or inability to use the Service. Our total cumulative liability to you for any claims arising from your use of the Service shall not exceed the total amount you paid to us in the three months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless LocalOutRank, Consolidated Assets LLC, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including the rights of your customers in connection with SMS messages sent through the platform.

Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in Pima County, Arizona, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction where necessary to protect intellectual property rights or prevent imminent harm.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the updated Terms.
